This Privacy Policy explains how CapIntent, LLC ("CapIntent," "we," "us," or "our") collects, uses, discloses, and otherwise processes personal information in connection with the CapIntent platform, website, applications, and related services (collectively, the "Service"). By accessing or using the Service on or after the Effective Date, you acknowledge that you have read and understood this Privacy Policy.
If you do not agree with this Privacy Policy, do not access or use the Service.
1. Information We Collect
We may collect the following categories of information:
1.1 Information You Provide Directly
- Account and profile information, such as your name, work email, phone number, employer, title, biography, and professional background.
- Authentication information you provide directly or through supported sign-in methods.
- Intent and opportunity information, including information you submit about interests, mandates, criteria, counterparties, or other transaction-related preferences.
- Communications and support requests, including messages you send to us.
- Uploaded content, including files, notes, documents, and other materials you add to the Service.
1.2 Information We Collect Automatically
- Usage information, such as log data, device information, browser type, IP address, pages viewed, features used, access times, and interactions with the Service.
- Cookies and similar technologies, including authentication tokens and technologies used to maintain sessions, remember preferences, support security, and operate the Service.
1.3 Information from Third Parties
- Third-party sign-in providers, such as LinkedIn or other supported authentication providers, to the extent you choose to use them.
- Service providers and integration partners, where applicable.
- Information derived from your activity, including content and intents used to support matching, search, ranking, and informational features.
2. How We Use Information
We may use personal information for the following purposes:
- To provide, operate, maintain, and improve the Service;
- To create and manage accounts and user profiles;
- To facilitate matching, search, recommendations, and related functionality;
- To process, organize, and display user-submitted content and intents;
- To operate AI-enabled and automated features as described in Section 4;
- To communicate with you about the Service, including service-related notices and support;
- To monitor, protect, and maintain the security, integrity, and availability of the Service;
- To detect, investigate, and prevent fraud, abuse, misuse, or other harmful or unlawful activity;
- To comply with applicable law, regulation, legal process, and internal compliance obligations; and
- To establish, exercise, or defend legal claims.
Where required by applicable law, we will process personal information only on a valid legal basis, including performance of a contract, legitimate interests, consent, and compliance with legal obligations.
3. Visibility, Matching, and Confidentiality
3.1 Private Intents
For private intents, identity, firm, and contact details are not revealed to a potential counterparty before mutual consent. CapIntent will not display your identity, firm name, or direct contact details to another member before the workflow or settings applicable to that feature permit such disclosure.
These restrictions apply to visibility as between members and users of the Service. They do not prohibit internal processing by CapIntent or processing by approved service providers acting on our behalf to operate, secure, maintain, or improve the Service, subject to appropriate contractual and technical safeguards.
3.2 Public Intents
For public intents, information you designate as public may be visible, searchable, matchable, or otherwise accessible within the Service consistent with the settings and functionality made available to you.
You are responsible for reviewing your visibility settings before submitting or changing an intent from private to public.
3.3 User Controls
Users may be able to control certain visibility settings, including:
- whether work email or phone number is shown;
- discoverability within the Service;
- whether an intent is designated as private or public; and
- other profile or feature-specific visibility settings we may make available.
Some confidentiality protections are system-imposed by default, while others depend on your selected settings and feature choices.
3.4 Chatbot and Informational Features
Another member's private information is never surfaced to you through the chatbot. CapIntent's chatbot and other informational features are designed not to display another member's private identity, firm, or direct contact information to you unless the Service specifically permits that disclosure.
4. AI and Automated Processing
We use AI-enabled and automated tools to support certain Service features, including:
- ranking or prioritizing potential matches;
- generating summaries, rationales, and informational responses;
- processing search and similarity functions, including embeddings; and
- supporting user-facing language and content features.
We may use third-party providers, including Anthropic and OpenAI AI and machine-learning service providers, to support these features.
To operate these features, CapIntent may provide limited content and data to such providers, which may include account, profile, intent, query, uploaded-content, and usage-context data as necessary for the relevant feature.
We do not use these providers to intentionally reveal another member's private identity, firm, or contact information to you through user-facing informational features unless this Privacy Policy or the relevant product flow expressly permits that disclosure.
AI-enabled outputs may be probabilistic, incomplete, or inaccurate. Automated rankings or recommendations are intended to support, not replace, professional judgment. Where applicable, users may contact us to request correction of underlying account or profile information used by these systems.
5. How We Disclose Information
We may disclose personal information as follows:
5.1 To Other Users and Counterparties
We may disclose information to other users or counterparties in accordance with your settings, the functionality of the Service, and the visibility rules described in Section 3.
5.2 To Service Providers and Sub-processors
We may disclose information to vendors, service providers, contractors, and sub-processors that perform services on our behalf, such as:
- cloud hosting and infrastructure;
- authentication and account services;
- analytics and product support;
- customer support tools;
- security and fraud-prevention services; and
- AI and machine-learning processing services.
These parties are authorized to process personal information only as necessary to provide services to CapIntent and are subject to contractual restrictions and appropriate safeguards.
5.3 For Legal and Compliance Purposes
We may disclose information where reasonably necessary to:
- comply with law, regulation, legal process, or governmental request;
- enforce our terms and policies;
- protect the rights, property, safety, and security of CapIntent, our users, or others; or
- detect, prevent, or address fraud, abuse, security, or technical issues.
5.4 Corporate Transactions
We may disclose information in connection with an actual or proposed merger, acquisition, financing, reorganization, bankruptcy, dissolution, or sale of some or all assets.
If such a transaction occurs, personal information will remain subject to protections materially consistent with this Privacy Policy unless and until users receive notice of material changes as required by applicable law.
5.5 No Sale of Personal Information
CapIntent does not sell personal information for monetary consideration.
CapIntent also does not use personal information for cross-context behavioral advertising or targeted advertising unless this Privacy Policy is updated to state otherwise.
6. Data Retention
We retain personal information for as long as reasonably necessary for the purposes described in this Privacy Policy, including to:
- provide and operate the Service;
- maintain business and transactional records;
- support security, fraud prevention, and dispute resolution;
- comply with legal, tax, accounting, and regulatory obligations; and
- establish, exercise, or defend legal claims.
Certain intents may expire by default after 90 days, subject to product settings, renewal, archival, legal retention needs, and operational requirements.
We may retain account, profile, usage, communications, and uploaded-content data for the duration of an active account and for a reasonable period thereafter, or longer where required or permitted by law.
Deletion requests are subject to legal, security, fraud-prevention, backup, archival, and record-retention exceptions.
7. Security
We implement reasonable administrative, technical, and organizational safeguards designed to protect personal information.
These measures may include:
- access controls and least-privilege restrictions;
- managed credential and secret storage;
- authentication protections;
- logging and monitoring;
- vendor oversight; and
- measures designed to protect data in transit and at rest, where appropriate.
CapIntent does not intentionally store credentials or secrets in plain text where secure alternatives are available and implemented.
No security measure is perfect or impenetrable, and we cannot guarantee absolute security.
8. Your Privacy Choices and Rights
Depending on your location and subject to applicable law, you may have the right to request:
- access to personal information we hold about you;
- correction of inaccurate personal information;
- deletion of personal information;
- export or portability of certain personal information; and
- objection to, or restriction of, certain processing activities.
You may also have the ability to manage certain profile, contact, discoverability, and intent-visibility settings directly through the Service.

We may need to verify your identity before processing a request and may decline or limit a request where permitted by law, including where we cannot verify identity, where an exception applies, or where fulfilling the request would adversely affect the rights of others.
Where required by applicable law, we will also provide information about appeals, authorized agents, and response timing.
9. Cookies and Similar Technologies
We use cookies and similar technologies to:
- authenticate users;
- maintain sessions;
- remember preferences;
- support security; and
- operate and improve the Service.
If we use non-essential cookies or similar technologies in the future, we may provide additional disclosures or choices as required by applicable law.
10. Children's Privacy
The Service is intended for professional and business use and is not directed to children.
We do not knowingly collect personal information from individuals under 18 years of age. If you believe that a person under 18 has provided personal information to us, please contact us and we will take appropriate steps consistent with applicable law.
11. International Processing and Transfers
CapIntent is based in the United States, and personal information may be processed in the United States and in other jurisdictions where CapIntent or its service providers operate.
Those jurisdictions may have data protection laws that differ from the laws of your jurisdiction. Where required by applicable law, CapIntent will implement appropriate safeguards for cross-border transfers of personal information.
By using the Service, you acknowledge that your information may be transferred to and processed in the United States and other jurisdictions, subject to applicable legal requirements.
12. Changes to This Privacy Policy
We may update this Privacy Policy from time to time.
If we make material changes, we will provide notice by updating the "Last updated" date above and, where required or appropriate, by providing additional notice through the Service, by email, or by other reasonable means.
Changes will become effective on the stated Effective Date unless otherwise indicated.
